We reserve the right to suspend or terminate accounts that violate these terms.

5. Subscription and Payment

Free Plan

• Access to basic features as described on our website
• We may change or discontinue free features with notice

Premium Plans

• Billed monthly or annually based on your selection
• Prices are listed on our pricing page and subject to change with 30 days' notice
• Payment is processed through secure third-party processors
• Auto-Renewal: Subscriptions auto-renew unless you cancel before the renewal date
• Cancellation: You can cancel anytime. No refunds for partial months, but you retain access until the end of your billing period

Failed Payments

If payment fails, we'll notify you and may suspend premium features until payment is resolved.

6. Intellectual Property

Zept , including all software, designs, logos, and content, is owned by us and protected by copyright, trademark, and other laws. You may not copy, modify, or distribute our platform without permission.

Your Rights

You retain ownership of all business data you upload. By using Zept, you grant us a limited license to process, store, and analyze your data solely to provide our services.

7. Data and Privacy

Your use of Zept is also governed by our Privacy Policy. We collect and use data as described there. Key points:

• We don't sell your data
• We use industry-standard security measures
• You can export or delete your data anytime

8. Voice Features

When using voice commands:

• Audio is recorded, transcribed, and then deleted
• Transcriptions are processed to generate insights
• Voice data is not shared with third parties except our transcription service providers

9. Third-Party Integrations

Zept may integrate with third-party services (e.g., accounting software, payment processors). Your use of those services is subject to their terms and privacy policies. We're not responsible for third-party services.

10. Disclaimer of Warranties

Zept is provided "as is" without warranties of any kind.

We don't guarantee that:

• The platform will be error-free or uninterrupted
• All data will be 100% accurate (always verify critical financial decisions)
• The service will meet your specific needs

Zept is not a substitute for professional financial, accounting, or legal advice. Consult qualified professionals for important business decisions.

11. Limitation of Liability

To the fullest extent permitted by law:

We are not liable for:

• Lost profits, data, or business opportunities
• Indirect, incidental, or consequential damages
• Damages exceeding the amount you paid us in the past 12 months

This applies even if we were aware such damages might occur.

Some jurisdictions don't allow these limitations, so they may not apply to you.

12. Indemnification

You agree to defend and hold us harmless from any claims, damages, or expenses (including legal fees) arising from:

• Your use of Zept
• Your violation of these Terms
• Your violation of any laws or third-party rights

13. Termination

By You

You can delete your account anytime through settings or by contacting support.

By Us

We may suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Abuse our platform or harm other users

We'll provide notice when possible, but may terminate immediately for serious violations.

Effect of Termination

• Your access to Zept ends immediately
• Data will be deleted according to our Privacy Policy (usually within 90 days)
• You remain responsible for any outstanding payments

14. Changes to Terms

We may update these Terms periodically. If changes are significant, we'll notify you via:

• In-app notification
• Notice on our website

Continued use after changes means you accept the updated Terms.

15. Dispute Resolution

Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Indonesia, without regard to conflict of law principles.

Jurisdiction

Any disputes arising from these Terms or your use of Zept shall be subject to the exclusive jurisdiction of the courts in Denpasar, Indonesia.

Language

These Terms are provided in English. In the event of any dispute regarding interpretation, the English version shall prevail.

16. General Provisions

Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and Zept

Severability

If any provision is found unenforceable, the rest remains in effect.

No Waiver

Our failure to enforce any right doesn't waive that right.

Assignment

You cannot transfer your rights under these Terms. We may assign our rights to another company (e.g., in a merger).

Force Majeure

We're not liable for delays or failures due to circumstances beyond our control (natural disasters, pandemics, etc.).
